TGNZ Connect - Service Agreement

This Service Agreement (“Agreement”) is entered into between TGNZ Networks (“Provider”)—operating under the brand TGNZ Connect—as a sole trader, and the Community Group/Organization (“User”) requesting web hosting services. By using TGNZ Connect, the User agrees to the following terms and conditions.
1. Service Description
TGNZ Connect is a fully managed web hosting service designed for community groups, clubs, and nonprofit organizations that need an online presence but may lack the resources to maintain one. This is a non-commercial, best-effort service provided at the discretion of TGNZ Networks.
Included Services
- Website hosting on a subdomain (e.g., example.tgnz.net) or a custom domain provided by the User.
- Website setup and management using Odoo, WordPress, PHP, or Flat File, depending on availability.

SSL certificate for security.

Automated backups (restoration subject to availability).
- Basic website assistance, including initial setup and limited design support.
Excluded Services
- No backend access (no cPanel, Plesk, or server control panels).
- No database access (websites requiring databases will be fully managed).
- No email hosting (this service is strictly for websites).
- No uptime guarantee or Service Level Agreement (SLA).
- No Content Delivery Network (CDN) or advanced performance optimizations.
2. Optional Payments & Fees
TGNZ Connect is primarily a free hosting service, but groups may opt-in to pay a voluntary fee to help support operations.

Pay-as-you-want: Users can choose to contribute financially to support their hosting.

Fee Requests: TGNZ Networks reserves the right to request a hosting fee from a User, as reasonably determined by fees paid by other current paying groups.

Fee Impact on Service:

Paying does not alter this Agreement.

No guarantees, SLAs, or additional services are granted to paying groups.
- Payment is considered a voluntary contribution and does not create a contract for continued service.
3. Eligibility & Organizational Status
TGNZ Connect is exclusively for community-driven initiatives. For-profit businesses, personal websites, and non-community entities are not eligible.
Organizations may be disqualified from hosting if they:

Cease to be a nonprofit, club, or community-focused organization.

Begin operating as a commercial entity (e.g., selling products or services for profit).
-
Shift in purpose to topics deemed controversial, political, or not aligned with community engagement.

Merge into a larger organization that has the means to provide its own hosting.

Demonstrate a pattern of inactivity (e.g., website not updated for extended periods).
TGNZ Connect retains the right to reassess a group’s eligibility at any time and may discontinue hosting if the organization no longer fits the intended scope of the service.
4. Custom Domains & Cloudflare Requirement
- Users who wish to use a custom domain must:
- Set up a Cloudflare account.
- Add TGNZ Networks as an admin to the Cloudflare account for DNS management.
- Maintain ownership and renewal of their domain.
- Failure to meet these requirements may result in suspension of the website.
5. Acknowledgment Requirement
All hosted websites must display a credit to TGNZ Connect at the bottom of each page in a font size no smaller than 10px, stating:
“Hosted by TGNZ Connect”
This credit must remain visible at all times and cannot be removed or obscured.
6. Content & Use Restrictions
The following content and activities are strictly prohibited:

Illegal or unethical activities, including fraud, phishing, and hacking-related content.

Hate speech, discrimination, harassment, or defamatory material.

Pornographic, adult, or obscene material.
-
Unauthorized distribution of copyrighted content.
-
Malware, botnets, or any activity that threatens server security.
-
Spamming, bulk emailing, or unsolicited advertisements.
-
Reselling or transferring hosting services to third parties.
Violations of these terms may result in immediate termination of services.
7. Security, DDoS Protection & Data Protection
TGNZ Connect takes reasonable precautions to secure hosted websites, including firewalls, intrusion detection, and regular updates. However, perfect security cannot be guaranteed due to financial and technical constraints.
DDoS Attacks & Abuse Prevention
- TGNZ Connect monitors for potential Distributed Denial of Service (DDoS) attacks but cannot guarantee full mitigation.

If a website is the target of repeated or severe DDoS attacks, TGNZ Connect reserves the right to suspend or terminate hosting to protect the stability of the network.

Users found intentionally participating in DDoS activity or any form of network abuse will have their hosting terminated immediately and may be reported to relevant authorities.
8. Termination & Suspension of Services
Provider-Initiated Termination
TGNZ Connect reserves the right to terminate hosting services with 30 days’ notice for any reason, including but not limited to:

The User no longer meets eligibility criteria (e.g., ceases to be a community organization).

The website exceeds resource limitations (e.g., high traffic or large-scale operations).
-
The User moves in a direction that conflicts with TGNZ Connect’s purpose.
-
Operational constraints that make continued hosting infeasible.
Emergency Suspension Clause
TGNZ Connect reserves the right to immediately suspend a website in cases of:

Security breaches, hacking, or malware infection.
-
Legal takedown requests (e.g., copyright, defamation, or criminal activity).
-
Severe DDoS attacks or abuse that threaten server stability.
If an emergency suspension occurs, the User will be contacted as soon as possible.
9. Liability Disclaimer

TGNZ Connect is provided as-is, with no guarantees regarding uptime, security, or performance.

TGNZ Connect is not liable for financial loss, data loss, service disruptions, or security breaches.

The User acknowledges the limitations of this free or low-cost service and accepts full responsibility for their website content and data.
10. Data Retention & Deletion After Termination
- Upon termination, all website data will be permanently deleted after a grace period of 7 days, unless the User requests an immediate removal.

Backups may not be available once termination is complete, and TGNZ Connect is not responsible for storing historical data.
11. Dispute Resolution
- Any disputes regarding this Agreement should first be addressed through direct communication with TGNZ Connect.
- If no resolution is reached, TGNZ Networks reserves the right to make a final decision regarding continued service, as this is a discretionary offering with no contractual obligations beyond this agreement.
- If the User wishes to escalate the dispute, they may seek independent advice or alternative dispute resolution methods, such as mediation.

TGNZ Networks is not liable for indirect or consequential damages, including loss of profits, revenue, or business opportunities, due to service suspension or termination.

13. Compliance with New Zealand Law
This Agreement is governed by the laws of New Zealand. If any provision in this Agreement is found to be unenforceable or in conflict with New Zealand law, that provision shall be modified or removed only to the extent necessary to comply with the law, while the remainder of the Agreement remains in full effect.
